1. Scope of Services
Alpha Wave LLC provides B2B procurement, distribution, and intermediary services in the chemical, technology, appliance, and industrial sectors. Our services include sourcing products from trusted suppliers globally and delivering them to our business clients.
2. Orders and Acceptance
Order Placement: Orders can be placed via official communication channels as agreed upon with Alpha Wave LLC. All orders are subject to availability and approval by Alpha Wave LLC.
Order Confirmation: We will confirm each order in writing. Acceptance of your order will occur only when Alpha Wave LLC issues a formal order confirmation.
Order Amendments: After order confirmation, any modifications must be communicated immediately, as changes may incur additional fees or delays.
3. Pricing and Payment Terms
Pricing: Prices for all products and services will be provided in quotations and are subject to change. Prices do not include taxes, shipping, handling, or customs fees unless explicitly stated.
Payment Terms: Payment terms will be outlined in your invoice. Payments are generally due within [Net 30/Net 60, etc., based on your policy] days unless otherwise specified.
Late Payments: Invoices not paid within the agreed terms may incur a late fee of [x%] per month, compounded monthly, until payment is received in full.
Currency: Payments must be made in the currency specified in the invoice.
4. Delivery and Shipping
Shipping and Delivery: Alpha Wave LLC will arrange for the shipment of goods as agreed upon with the client. Delivery timelines are estimated and subject to delays due to factors beyond our control, such as customs clearance or supply chain disruptions.
Risk of Loss: Risk of loss for goods passes to the client upon dispatch from our facilities or supplier location, depending on the agreed Incoterms (such as FOB, CIF, etc.).
Customs and Duties: Clients are responsible for any customs duties, taxes, or import/export fees applicable in the destination country.
5. Product Specifications and Warranties
Specifications: Product specifications provided by Alpha Wave LLC are based on supplier information and are accurate to the best of our knowledge. However, slight variations may occur, and it is the client’s responsibility to ensure products meet their requirements.
Product Warranty: Alpha Wave LLC does not provide a direct warranty on products procured from suppliers unless explicitly stated. Clients should refer to the manufacturer’s warranty, if available, for each product.
Disclaimer of Warranties: All products are sold "as-is" unless otherwise specified in the order contract. Alpha Wave LLC disclaims all warranties, whether express or implied, including but not limited to merchantability or fitness for a particular purpose.
6. Returns and Cancellations
Return Policy: Returns or exchanges will be handled on a case-by-case basis and must be pre-approved by Alpha Wave LLC. A restocking fee may apply.
Order Cancellation: Orders cannot be canceled once dispatched. If you wish to cancel prior to dispatch, please contact us immediately, but be aware that cancellation fees may apply.
7. Limitation of Liability
Alpha Wave LLC will not be liable for any indirect, incidental, special, or consequential damages arising from or related to the use of our services, including but not limited to loss of profit, loss of revenue, or business interruption. Our liability is limited to the invoice amount paid by the client for the specific order in question.
8. Confidentiality and Intellectual Property
Regulatory Compliance: Clients are responsible for ensuring that all imported goods comply with applicable laws and regulations in the destination country, including any environmental, safety, and import/export regulations.
Sanctions and Trade Restrictions: Alpha Wave LLC reserves the right to cancel or suspend orders that may violate applicable trade sanctions or export/import restrictions.
10. Governing Law and Dispute Resolution
Governing Law: These Terms & Conditions are governed by the laws of United Kingdom.
Dispute Resolution: Any disputes arising out of or related to these Terms & Conditions will be resolved through arbitration/mediation in your country/city, before a mutually agreed arbitrator. If arbitration is not feasible, the dispute may proceed to court in the same jurisdiction.
11. Changes to Terms
Alpha Wave LLC reserves the right to modify these Terms & Conditions at any time. Updated Terms will be made available on our website or communicated directly to clients. Continued engagement with our services constitutes acceptance of the revised Terms.
